Terms of Use and Public Offer Agreement

This document is the official proposal (public offer) by the Seller to conclude a sale and purchase agreement for goods remotely via the website [https://client-domain] (hereinafter, the “Online Store”).
The Offer is addressed to an unlimited number of persons and establishes identical terms for all Buyers pursuant to Articles 633 and 641 of the Civil Code of Ukraine.
By clicking “Confirm Order” / placing an order on the website and receiving electronic confirmation from the Seller, the Buyer accepts this Offer in full.
1. Definitions
Offer — this document with all appendices and amendments.
Goods — products presented in the Online Store that the Buyer selects and orders remotely.
Buyer — a legally capable individual aged 18+, a legal entity, or a sole proprietor placing an order via the Online Store.

2. Subject of the Agreement
2.1. The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to pay for and accept the Goods under this Offer.
2.2. The Agreement is deemed concluded upon the Buyer’s acceptance of the Offer (placing an order on the website and receiving confirmation by e-mail/in the account).
3. Placing an Order
3.1. Orders are placed via the shopping cart on the website or through the contact channels specified in the “Contacts” section.
3.2. To fulfill the order, the Buyer provides: full name, phone number, e-mail, delivery address, and other data required for shipment.
3.3. The Seller may verify details or decline the order if the data are incomplete/doubtful.
3.4. Information about the Goods (name, SKU, quantity, price) is displayed in the cart/order.
3.5. The Buyer is responsible for the accuracy of the information provided.
4. Prices, Payment, and Delivery
4.1. Current prices are published on the website in UAH. Prices may change until the specific order is paid.
4.2. Payment methods are available in the cart/on the “Checkout” page.
4.3. Delivery is carried out by carriers at their rates; delivery cost is not included in the price of the Goods and is paid by the Buyer.
4.4. The Buyer’s payment obligation is deemed fulfilled when funds are credited to the Seller’s account.
4.5. The risk of accidental loss/damage to the Goods passes to the Buyer upon handover by the carrier or upon pickup.
5. Acceptance of Goods
5.1. Upon receipt, the Buyer checks quantity, completeness, and appearance.
5.2. The signature on the sales/transport documents confirms the absence of claims regarding quantity and external condition.
6. Returns and Warranties
6.1. Returns of proper quality Goods are possible within 14 calendar days (excluding the day of purchase) provided that the Goods were not used, the commercial appearance, packaging, seals/tags are preserved, and a payment document is available.
6.2. The list of Goods not subject to return is determined by resolutions of the Cabinet of Ministers of Ukraine.
6.3. Refunds are made within up to 30 calendar days from the date the Goods are received by the Seller — to the account from which payment was made / to the Buyer’s details.
6.4. Return shipping costs for proper quality Goods are borne by the Buyer.
6.5. If defects are discovered within the warranty period, claims shall be made pursuant to the Law of Ukraine “On Consumer Rights Protection”. The Seller is not liable for defects arising from improper use/storage or force majeure.
7. Rights and Obligations of the Parties
The Seller shall:
— deliver the Goods in accordance with the order;
— maintain the confidentiality of the Buyer’s personal data.
The Seller may:
— change the terms of the Offer and prices by publishing them on the website (effective upon publication);
— refuse to fulfill the order if the Buyer breaches the Agreement.
The Buyer shall:
— read the Offer and prices before placing an order;
— provide correct contact and delivery details;
— accept and pay for the order under this Offer.
8. Liability and Force Majeure
8.1. The Parties are liable in accordance with the legislation of Ukraine and the terms of this Offer.
8.2. A Party is released from liability for non-performance due to force majeure (including, inter alia, military actions, emergencies, natural disasters), subject to prompt notice to the other Party.
9. Personal Data and Confidentiality
9.1. By providing data during ordering/registration, the Buyer consents to their processing for the purposes of contract performance, settlements, information exchange, and logistics in accordance with the Law of Ukraine “On Personal Data Protection”.
9.2. The Seller may transfer data to third parties providing services (carriers, payment providers, etc.) solely to fulfill the order.
9.3. The Buyer is responsible for keeping the provided data up to date.
10. Dispute Resolution and Governing Law
10.1. The Agreement is concluded in Ukraine and governed by the legislation of Ukraine.
10.2. Disputes shall be resolved through negotiations; failing agreement — in court pursuant to the jurisdiction rules established by law.
11. Final Provisions
11.1. The version of the Offer effective at the time of ordering applies to the respective Agreement.
11.2. All website materials (descriptions, prices, photos) are for reference; product specifications may be clarified by the Seller.
11.3. The Offer is published without signature and is valid in electronic form.
